Terms of Service

1. Who these terms are with

These Terms of Service govern your use of SocialAuto, a social media management application available at socialauto.site (the "Service").

The Service is operated by SocialAuto, a sole proprietorship registered in Dhaka, Bangladesh under trade licence TRAD/DNCC/051526/2025 issued by Dhaka North City Corporation, with its registered address at Road 27/A, Plot 7, Rupnagar R/A, Mirpur, Dhaka 1216, Bangladesh ("we", "us", "our").

By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service. If you are using it on behalf of an organisation, you confirm that you are authorised to bind that organisation.

2. What the Service does

SocialAuto helps you plan, create and publish content to social media accounts you own or are authorised to manage. Depending on your plan it can:

• generate post text, images and video with the assistance of AI models;
• schedule and publish to connected Facebook, Instagram, LinkedIn, YouTube and X accounts;
• show engagement metrics reported by those platforms;
• draft replies to comments and direct messages, which you approve or, if you enable it, send automatically.

We may add, change or remove features. If we remove something you rely on materially, we will give reasonable notice.

3. Your account

You must be at least 18 and provide accurate registration details. You are responsible for your password and for everything done under your account. Tell us promptly at legal@socialauto.site if you believe it has been compromised.

Accounts are for a single customer. Do not share credentials or resell access without our written agreement.

4. Your content

You keep ownership of everything you upload or create through the Service. You grant us a limited licence to host, store, process and transmit it strictly to operate the Service on your behalf — for example to publish it to a platform you connected, or to send it to an AI provider so a draft can be produced. This licence ends when you delete the content or close your account, subject to the retention periods in our privacy policy.

You confirm you have the rights to the content you publish through the Service, including to any images, video, music or trademarks it contains, and that publishing it does not infringe anyone's rights.

We do not use your content to train our own models.

5. AI-generated content

Generated text, images and replies are produced by automated models. They can be wrong, biased, out of date, or unintentionally similar to existing material. You are responsible for reviewing anything before it is published or sent, and for making sure it is accurate, lawful and appropriate for your audience.

Automatic sending — where the bot replies to a customer without your review — is off by default. If you enable it, you accept responsibility for the messages it sends on your behalf.

We do not warrant that generated content is original, non-infringing or fit for any particular purpose, and we give no guarantee about the commercial results of using it.

6. Connected social platforms

When you connect an account you authorise us to act on your behalf on that platform. You must:

• own the account, or have the account owner's permission to manage it;
• comply with that platform's own terms and policies, including Meta's Platform Terms and Community Standards, LinkedIn's User Agreement and Professional Community Policies, and the equivalent rules for Google/YouTube and X;
• not use the Service to evade a platform's rate limits, automation rules, spam policies or enforcement actions.

Platforms may change or withdraw their APIs, revoke access, or restrict features at any time. Where that happens, the affected functionality may stop working through no fault of ours, and we are not liable for the consequences. Some platforms do not make certain data available to applications at all; where that is the case, the Service cannot show it.

You can disconnect an account at any time, from the Service or from the platform's own settings.

7. Acceptable use

You must not use the Service to:

• publish content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that promotes violence or discrimination;
• send spam, bulk unsolicited messages, or automated messages at a volume or frequency designed to circumvent a platform's protections;
• impersonate any person or organisation, or misrepresent your affiliation with one;
• publish deliberately false information, fake reviews or fabricated endorsements;
• infringe intellectual property or privacy rights, or publish someone's personal data without a lawful basis;
• attempt to access another customer's data, probe or disrupt our infrastructure, or circumvent authentication, billing or usage limits;
• reverse engineer the Service, or use it to build a competing product;
• use automated means to extract data from the Service beyond the features we provide.

We may investigate suspected breaches and may suspend or terminate accounts involved. Where a platform notifies us of abuse originating from your account, we may act on that notice.

8. Plans, credits and payment

Paid plans and credit packs are described in the application at the point of purchase. AI features consume credits based on the actual usage of the model you select; the rate is shown before you choose a model.

• Card payments are processed by Stripe. We also accept manual bank and mobile transfers, which are credited once verified.
• Credits already consumed are non-refundable.
• Unused credits remain available while your account is active and are not exchangeable for cash.
• Prices may change with notice; a change does not affect credits you have already bought.
• If a payment fails or is reversed, we may suspend paid features until it is resolved.

If you believe you have been charged in error, contact us within 30 days and we will investigate.

9. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. It may be unavailable during maintenance, or because of failures in infrastructure, third-party APIs or networks outside our control. Scheduled posts depend on the connected platform accepting them at the time; where a platform rejects a post or a credential has expired, we record the failure and notify you, but we cannot guarantee delivery.

10. Suspension and termination

You may stop using the Service and request deletion of your account at any time by emailing legal@socialauto.site.

We may suspend or terminate your account if you materially breach these Terms, if your use puts our platform access or other customers at risk, if payment fails, or if we are required to by law or by a platform we depend on. Where circumstances allow we will give notice and an opportunity to put things right.

On termination your right to use the Service ends. Data handling after termination is described in our privacy policy.

11. Our intellectual property

The Service, including its software, design and branding, belongs to us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Nothing here transfers ownership of the Service to you.

12. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free, that generated content will be accurate or effective, or that metrics reported by third-party platforms are complete or correct.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data, goodwill or business opportunities, arising from your use of the Service.

Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

14. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from content you publish through the Service, your breach of these Terms, or your breach of a connected platform's rules or of applicable law.

15. Governing law

These Terms are governed by the laws of Bangladesh. The courts of Dhaka, Bangladesh have exclusive jurisdiction over any dispute arising from them, except that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property. If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings locally, that right is not affected.

16. Changes to these terms

We may update these Terms as the Service develops. The date at the top shows when they last changed. For material changes we will give notice in the application or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms.
